Medthera, Inc. (also referred to as “us”, “we” or “our”) owns and operates the website www.walkport.com (also referred to as “site” or “website”). The site provides online access to information about us and our products. This agreement is between us and you (also referred to as “your” or “user”) the person accessing/interacting with our website. If the person accessing the site does so on behalf of, or for the purposes of another person, including a business or other organization, you, also means that other person, including a business organization.

Medthera authorizes you to view and download materials from our website for your use in evaluating our products and services for the purpose of purchasing. Our site, and services are intended for persons aged 18 and older. Any use of or access to the website by anyone under 18 without the express permission of their parent or legal guardian is unauthorized and in violation of these Terms of Use.
To receive full access to the Medthera service, you must register as a member and enter into a subscription agreement for access to app updates, videos, contests, content and features (a “subscription”). Your subscription is governed by the Membership Terms. You must provide a complete and accurate registration to Medthera and notify us if any of your information changes.
You may post reviews, comments, photos and other content and submit suggestions, ideas, comments, questions, or other information to the site so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties and does not contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam” You may not use false email address, impersonate any person or entity, or otherwise mislead as to the origin of submitted content.
Medthera does not claim ownership of any content submitted by any visitor. Therefore, you hereby grant and allow Medthera a royalty-free, perpetual, irrevocable, worldwide, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, make use, sell, offer to sell and import all content, remarks, inventions, suggestions, ideas, graphics, photos, videos, audio, text or other information communication to us by you through this website (collectively as “submission”) and to use any submission in other works in any form, media or technology. You further agree that we may use your name, likeness, pseudonym, avatar, or other information related to your identity and provided to us through the website in conjunction and in relation to your submission for the benefit of Medthera. Medthera will not be required to treat any submission as confidential and may use any submission in relation to our business without incurring any liability for royalties or any other consideration of any kind and will not incur any liability as a result of any similarities that may appear in future Medthera operations. Medthera is not required to post or use any submissions you may provide and if posted, may remove any submissions at any time at our sole discretion.

The Medthera website is controlled by us from our office in Minnesota. As such, these Terms of Use shall be governed by the laws of the State of Minnesota and the applicable federal laws of the United States of America. All disputes arising under, or in any way connected with membership in or use of the service, shall be litigated exclusively in the state and federal courts residing in Carver County, Minnesota and in no other court or jurisdiction.
No waiver by Medthera of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. If any part of the Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, that part will be deemed severable, shall be modified to reflect the original intention of the parties as reflected by the original wording and if not possible shall be severed from this Agreement and will not affect the validity and enforceability of any remaining provisions.
These Terms are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives and permitted assigns. You may not assign or transfer these Terms without the prior written consent of Medthera.
You agree to indemnify, defend and hold harmless Medthera, its officers, employees, directors, vendors, licensors, or contract employees (“Indemnified Parties”) against all claims, damages, losses, obligations, liabilities, costs and expenses that arise from (i) your use of and access to the website, content and the service (ii) your violation of any term of these Terms of Use or the documents or policies referenced herein, (iii) your violation of any third-party right, including without limitation any copyright, property, publicity or privacy right. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use.
While registration isn’t required to use the site there may be portals that you may need to access that will require a username and password. You are solely responsible for keeping your login information secure. You will be responsible for any actions taken by you or anyone using your password or other login credentials. Medthera will be entitled to monitor your password.

When you create an account, you understand and agree to furnish factual, correct, current and complete information with regards to yourself as may be requested by the registration process. If you knowingly provide any information of a false, untrue, inaccurate, or incomplete nature, we will have sufficient grounds and rights to suspend or terminate your account.

BY ACCEPTING THIS AGREEMENT, YOU WAIVE AND HOLD HARMLESS MEDTHERA FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY MEDTHERA DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTGATIONS BY EITHER MEDTHERA OR LAW ENFORCEMENT AUTHORITIES.
Medthera, our partners, affiliates, contributors or third parties own all proprietary and intellectual property rights in the website including without limitation any logos, trademarks, service marks, copyrighted works, text, photos, videos, audio, software, graphics, music, sound, (collectively, the “content”) is protected by copyrights, trademarks, patents or other proprietary rights and laws and is owned by or licensed to Medthera or its partners, affiliates, contributors or third parties.
Medthera grants you personal, non-transferable and non-exclusive right and/or license to use the site, the service and the content. Accordingly, the content may not be copied, modified, distributed, republished, uploaded, posted, displayed, performed, licensed, modified or transmitted in any way with the prior written consent of Medthera or its assigns. Your use of the site does not give you any right to use any of the logos, trademarks, service marks or other indicators of origin appearing on the site.
This website is accessible worldwide. The site is controlled, operated, and administered by Medthera from its offices within the State of Minnesota, United States of America. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.
